1. Acceptance of the Terms
These Terms of Use (“Terms”) constitute a legally binding agreement between you and Zeotech, S.A.S. (“Zeotech,” “we,” “us,” or “our”). By accessing or using our website https://zeotech.com.co (the “Site”) and the services offered therein, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use the Site.
2. Description of Services
The Site provides information about our company, our business lines (ZEOCANN, ZEOFOODZ, ZEOLIFE, ZEOMYCEL, ZEOPHYTOZ), our technology (such as ZeoDry), and our philosophy of combining biodiversity and biotechnology. It may also offer functionalities to contact us, access publications, or interact with our digital platform. We reserve the right to modify or discontinue any aspect of the Site at any time without notice.
3. Intellectual Property Rights
All content present on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, as well as trademarks like “ZeoDry,” is the exclusive property of Zeotech or its content suppliers and is protected by international copyright and intellectual property laws.1 You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its content without our express written permission.
4. User Conduct and Acceptable Use
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Site. Prohibited behavior includes, but is not limited to:
• Using the Site for any illegal or unauthorized purpose.
• Harassing, abusing, insulting, harming, defaming, or discriminating against others.
• Transmitting any worms, viruses, or any code of a destructive nature.
• Attempting to gain unauthorized access to our computer systems or engaging in any activity that disrupts, diminishes the quality of, or interferes with the performance of the Site.
• Infringing upon our intellectual property rights or the intellectual property rights of others.
We reserve the right to terminate or suspend your access to the Site for any violation of these provisions.
5. Disclaimer of Warranties
The Site and its content are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. To the fullest extent permissible by applicable law, we disclaim all warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.1 We do not warrant that the Site will be uninterrupted, secure, or error-free.
6. Limitation of Liability
To the maximum extent permitted by law, in no event shall Zeotech, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site; or (iii) unauthorized access, use, or alteration of your transmissions or content.
7. Indemnification
You agree to indemnify, defend, and hold harmless Zeotech and our subsidiaries, affiliates, partners, officers, directors, employees, and agents from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third party.
8. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws specified in the jurisdictional provisions below.
9. Jurisdictional Provisions
For Users in the United States
• FTC Compliance: The descriptions of our services and any claims made on the Site are intended to be clear, accurate, and not misleading, consistent with the standards set forth by Section 5 of the Federal Trade Commission (FTC) Act, which prohibits unfair or deceptive acts or practices.
• Dispute Resolution: Binding Arbitration and Class Action Waiver: Any dispute or claim relating in any way to your use of the Site will be resolved by binding arbitration, rather than in court. You and Zeotech each waive any right to participate in a class action lawsuit or class-wide arbitration.
• Governing Law: These Terms and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States, without giving effect to any choice or conflict of law provision or rule.
For Users in the European Union
• Consumer Rights: As a consumer in the EU, you benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.
• Online Dispute Resolution (ODR): The European Commission provides a platform for online dispute resolution, which you can access here: https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board. You retain the right to bring a claim in the courts of your place of residence.
• Governing Law: While these Terms may be governed by a specific law (e.g., the law of Colombia), this choice of law will not deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of the law of your habitual residence.
